1. Introduction

This End User Licence Agreement (“EULA”) is a legalagreement between you (“User”, “You”, or “End User”) and NGA Dynamics Ltd("Company", "We", "Us" or "Our") forthe use of our software, digital platforms, tools, analytics dashboards,innovation products, and related services (“Software” or “Services”).

By installing, accessing, or using our Software or Services,you confirm that you have read, understood, and agree to be bound by this EULA.

If you do not agree, do not install or use the Software.

2. Licence Grant

NGA Dynamics Ltd grants you a non-exclusive,non-transferable, revocable licence to:

Access and use the Software for your internal business purposes only. Use related printed or digital materials. Access any updates or improvements made available during the licence term. This licence does not grant you ownership of the Software orany of its components.

3. Licence Restrictions

You must not:

1. Copy, modify, or create derivative works of the Software. 
2. Reverse engineer, decompile, decrypt, or attempt to extract the source code. 
3. Distribute, sell, rent, lease, or sublicense the Software. 
4. Remove or alter proprietary notices or branding. 
5. Use the Software for illegal, unethical, or unauthorised purposes. 
6. Use the Software in a way that could harm NGA Dynamics Ltd, its reputation, or its intellectual property. 
7. For enterprise or multi-user licences, a separate agreement will apply.

4. Ownership and Intellectual Property

The Software and all associated materials, including but not limited to:

• Code
• Algorithms
• Product innovations
• Designs
• Security mechanisms
• Documentation
• Branding

…are the exclusive intellectual property of NGA Dynamics Ltd. Nothing in this EULA transfers ownership to the user.

5. Data Usage & Privacy

By using our Software, you agree that NGA Dynamics Ltd may:

• Collect and store operational data required for the Software’s function . 
• Use anonymised analytics for product improvement. 
• Store logs to ensure security and performance. 

We do not collect personal data unnecessarily, and all data handling complies with UK GDPR regulations.

6. Updates and Support

NGA Dynamics Ltd may occasionally release:

• Updates
• Enhancements
• Maintenance patches
• Security improvements

We are not obligated to provide ongoing support unless outlined in a separate agreement.

7. User Responsibilities

You agree to:

1. Maintain the security and confidentiality of your login credentials
2. Notify NGA Dynamics Ltd immediately of unauthorised access. 
3. Ensure your hardware and network environment is compatible
4. Use the Software in compliance with all applicable laws and industry guidelines.

8. Termination

NGA Dynamics Ltd may suspend or terminate your licence if:

• You breach any term of this EULA.
• You misuse the Software.
• You engage in illegal or harmful activities.
• Your subscription or licence term expires.

Upon termination:

• You must stop using the Software immediately
• You must delete all copies in your possession

9. Warranties & Disclaimer

The Software is provided “as is,” without warranty of any kind, including:

• Fitness for a particular purpose
• Error-free performance
• Continuous availability
• Compatibility with all systems

NGA Dynamics Ltd does not guarantee that the Software will meet your expectations or operate without interruption.

10. Limitation of Liability

To the maximum extent permitted by law:

NGA Dynamics Ltd is not liable for loss of data, business interruption, lost profits, or indirect damages. Our total liability shall not exceed the amount paid by the user for the Software within the last 12 months.

11. Indemnification

You agree to indemnify and defend NGA Dynamics Ltd against claims, damages, or losses arising from:

• Misuse of the Software
• Violation of this agreement
• Unauthorised access by third parties due to your negligence

12. Governing Law

This EULA shall be governed by the laws of England and Wales. Any disputes will be resolved through UK courts.

13. Changes to this Agreement

NGA Dynamics Ltd may update this EULA at any time. Continued use of the Software after changes indicates acceptance.
